David Gellen is chair of the firm’s Corporate Practice Group. David represents public and private companies and entrepreneurs in a diverse group of industries including technology and e-Commerce, consumer products, entertainment, energy, hospitality and healthcare. He advises clients regarding a variety of business transactions, including mergers and acquisitions involving a wide range of industries. His practice includes providing business advice to his clients including counseling them on corporate governance, business formation, structuring and negotiating contracts including operating agreements, shareholder agreements, joint venture agreements, license agreements, employment agreements, among others as well as providing regulatory and compliance advice including fiduciary duties and related director and officer responsibilities, conducting internal investigations, data privacy and security including providing advice with respect to online terms of use, terms of sale and privacy policies.

Richard H. Levenstein leads the firm’s Health Care Practice, and has practiced for over 40 years, and assists clients in the areas of physician and medical staff representation, licensing, peer review and credentialing, and litigation related to health care issues of all kinds. Mr. Levenstein also handles business disputes, including actions arising from contracts or torts and his practice strongly focuses on representing individual physicians, professional medical practices, and the physician leadership of organized medical staffs around the State. Further, Mr. Levenstein is a Board-Certified Business Litigation Lawyer and represents clients in state and federal court, and in administrative proceedings.

Michael Clinch provides general corporate counseling and strategic advice to entrepreneurs, small and medium-sized businesses (SMBs), and tax-exempt organizations. In addition to general and strategic counseling, Michael routinely represents SMBs and tax-exempt organizations in connection with mergers and acquisitions, reorganizations, debt financing transactions and restructurings, and securities offerings.
