For thirty years, Legal Netlink Alliance has served the needs of clients worldwide.
The transactions involved Northamber’s acquisition of Epatra Benelux and Sahara Benelux B.V., bolstering its position as a premier distributor of AV and IT solutions across the Netherlands and Belgium. Founded in 2001, Sahara Benelux, based in the Netherlands, is well established as the “go to” distributor for market-leading brands Matrox and Christie Digital.
The legal teams collaborated closely across jurisdictions to ensure smooth execution of the deals, reinforcing the value of trusted partnerships within the LNA.
RWK Goodman, Northamber’s long-standing legal adviser in the UK, led the transaction with Corporate Partner Richard Pull at the helm. He was supported by Corporate Associates Michelle Waligóra and Omoleye Agboola.
“We are delighted to have provided transactional support to Northamber again on this strategic acquisition that will support their growth and further expansion into Europe,” said Pull.
In the Netherlands, Wintertaling delivered Dutch legal expertise, with a team comprising Thom Schölvinck, Lisette Oosterveen, and Julien van Oosten. Their role was essential in navigating local legal frameworks, and their ability to collaborate closely with their UK and Belgian counterparts ensured consistency and clarity throughout.
On the Belgian law front, MDP Advocaten provided guidance through Partner Jean Cloquet, further strengthening the legal coordination across all three jurisdictions.
“We are pleased and honoured to have been able to contribute to the smooth transfer of the Belgian target of the deal and in particular the ‘red flag’ legal due diligence reporting prior to the share transaction, with analysis of documents in the virtual data room focusing on Belgian corporate law and also examining the contractual aspects related to (among others) real estate and lease, and related insurance aspects as well as advising and drafting the corporate law documents related to the transfer of the shares and advising on their legal publicity, as well as the deeds of the general meeting related to the governing bodies. We look forward to further future cooperation and exchange, with the various members of LNA working together dynamically and intensively, each from its national law and specific competences, providing smooth and effective services to clients.” - Cloquet says.
The ability to execute simultaneous acquisitions in multiple European markets was made possible by the cohesion and mutual respect among the LNA firms.
“This transaction once again showcased the strength of our M&A team at Wintertaling, known for navigating complex corporate transactions with precision and commercial insight and ranked by Legal 500 for this very practice area. The cooperation with our colleagues at RWK Goodman and MDP Advocaten—trusted partners through the Legal Netlink Alliance—was, as always, smooth, constructive, and highly efficient. Having worked together on several matters before, this shared experience and mutual understanding made a real difference in delivering seamless, cross-border legal support for our client.” — Thom Schölvinck, Partner at Wintertaling
"Cooperation with our colleagues at RWK Goodman, Northamber, with Richard Pull, Corporate Partner, and Michelle Waligóra and Omoleye Agboola, Corporate Associates, in the UK, and with our Dutch friends at Wintertaling, with Thom Schölvinck, Lisette Oosterveen and Julien van Oosten, was particularly efficient and smooth." - says MDP Partner Jean Cloquet.
This transaction exemplifies how the Legal Netlink Alliance empowers independent firms to operate as a unified, international team—delivering high-quality legal counsel with deep local knowledge. The shared values and trusted relationships within the LNA network made the difference, allowing the firms to act as a unified legal team across three countries.
Northamber, listed on the London Stock Exchange, has made strategic growth in Europe a key part of its roadmap. The acquisition of Sahara Benelux by Epatra Ltd. (itself acquired by Northamber earlier in 2025) solidifies the group’s position as a serious player in the European AV market.
As a publicly listed company with ambitious growth plans, Northamber PLC placed significant trust in its legal partners.
From Northamber’s perspective, key legal challenges included coordinating simultaneous acquisitions under differing legal systems, ensuring compliance with local corporate, regulatory, and contractual frameworks in both the Netherlands and Belgium, and managing complex due diligence across jurisdictions—all while maintaining alignment with public company obligations in the UK. The integration of local legal nuances into a unified transactional strategy has required careful planning and expert cross-border legal collaboration.
The deal showcases what LNA does best—connecting independent, high-quality law firms to deliver global expertise with local insight. Through long-standing relationships, aligned values, and mutual trust, the firms were able to deliver exceptional value and execution in a high-stakes, multi-jurisdictional deal.
As businesses increasingly look to expand across borders, the Northamber transaction stands as a case study in how coordinated legal expertise across LNA member firms can make international growth a reality—with speed, precision, and confidence.
